These Terms of Service ("Terms") govern access to and use of the Aeroz supply-chain authentication platform, hardware, dashboard, applications, APIs, and related services (together, the "Services"), provided by Lumi Enterprises Corporation operating as Aeroz ("Aeroz", "we", "us", or "our"). The Services are intended for business use. Please read these Terms carefully.
1. Agreement & acceptance
These Terms form a binding agreement between Aeroz and the entity accessing the Services ("Customer" or "you"). By signing an order form or agreement that references these Terms, accessing the dashboard or applications, deploying Aeroz hardware, or otherwise using the Services, you agree to these Terms. If you accept on behalf of an organization, you represent that you have authority to bind that organization.
Where you and Aeroz have entered into a separate written master agreement, that agreement governs and controls over any conflicting provision in these Terms.
2. The Service
Aeroz is a supply-chain authentication platform. It binds a cryptographic, unit-level identity to physical goods and provides:
- Authentication hardware — chips and tags applied to products, packaging, or seals;
- Verification — confirmation of whether an item is genuine and whether its seal is intact;
- Dashboard & applications — interfaces to enroll products, manage accounts, and view authentication and custody data;
- Audit log — an append-only record of authentication and custody events, expressed as EPCIS 2.0 events, that can support traceability and compliance reporting.
Aeroz is a verification and record-keeping layer. It does not itself certify regulatory compliance, and it is the Customer's responsibility to determine and meet its own legal and regulatory obligations. We may update, enhance, or modify the Services over time.
3. Accounts & eligibility
The Services are offered for business and professional use only and are not intended for consumers acting for personal, family, or household purposes (other than one-way consumer tap-to-verify, which requires no account). You must be at least the age of majority in your jurisdiction and capable of forming a binding contract.
You are responsible for the accuracy of account information, for maintaining the confidentiality of credentials, for all activity under your account, and for ensuring that your authorized users comply with these Terms. Notify us promptly of any unauthorized access or suspected security incident.
4. Acceptable use
You agree not to, and not to permit any user or third party to:
- reverse-engineer, decompile, tamper with, clone, or attempt to extract keys or identities from Aeroz chips, tags, hardware, or software, except to the extent this restriction is prohibited by applicable law;
- use the Services to misrepresent the authenticity, origin, custody, or status of any product, or to apply Aeroz identities to goods they were not issued for;
- circumvent, disable, or interfere with authentication, security, seal, or audit-log features, or with the integrity of the append-only record;
- access the Services through unauthorized means, probe or scan for vulnerabilities, or disrupt or overload the Services;
- resell, sublicense, or provide the Services to third parties except as expressly permitted in your agreement;
- upload unlawful, infringing, or malicious content, or use the Services in violation of applicable law, export controls, or sanctions.
We may suspend access to address a material breach, security risk, or unlawful use, with notice where practicable.
5. Customer data & ownership
As between the parties, Customer owns and retains all rights to its data, including the product, account, authentication, and custody data it submits or generates through the Services ("Customer Data"). Customer grants Aeroz a limited license to host, process, and use Customer Data solely to provide, secure, support, and improve the Services and as otherwise permitted in the applicable agreement.
Where the Services involve personal data, Aeroz processes it as described in our Privacy Policy and, where applicable, under a data processing addendum (DPA) in which the Customer is the controller and Aeroz the processor. We may use aggregated and de-identified data that does not identify Customer or any individual to operate, secure, and improve the Services.
6. Intellectual property
The Services, including the Aeroz platform, hardware designs, software, dashboard, documentation, and all related intellectual property, are owned by Lumi Enterprises Corporation and its licensors and are protected by intellectual-property laws. This includes patent-pending technology relating to Aeroz's dual-frequency authentication and related methods.
Subject to these Terms and payment of applicable fees, Aeroz grants Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Services for its internal business purposes during the term. No rights are granted except as expressly stated, and all rights not expressly granted are reserved. The Aeroz name, logo, and brand are trademarks of Lumi Enterprises Corporation and may not be used without permission.
7. Service availability & pilots
We aim to provide reliable Services, but except as expressly set out in a written service-level agreement, the Services are provided without uptime guarantees. We may perform maintenance and may modify or discontinue features. Pilot, beta, trial, or evaluation offerings are provided "as is" for assessment purposes, may be changed or withdrawn at any time, and may be subject to additional or different terms.
8. Disclaimers & limitation of liability
To the maximum extent permitted by law, the Services are provided "as is" and "as available," and Aeroz disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. Aeroz does not warrant that the Services will be uninterrupted, error-free, or that authentication or detection will identify every counterfeit, tamper, or diversion event. The Services are a tool that supports — but does not replace — the Customer's own controls, judgment, and compliance obligations.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill. Aeroz's total aggregate liability arising out of or relating to the Services will not exceed the amounts paid or payable by Customer to Aeroz for the Services in the twelve (12) months preceding the event giving rise to the claim. These limitations do not apply where they cannot be limited under applicable law.
9. Term & termination
These Terms apply for as long as you use the Services or as set out in your order form or agreement. Either party may terminate for material breach that remains uncured after written notice, and as otherwise provided in the applicable agreement. We may suspend or terminate access for non-payment, unlawful use, or material security risk.
On termination, your right to access the Services ends. Provisions that by their nature should survive — including ownership, confidentiality, disclaimers, limitations of liability, and governing law — survive termination. Return, export, and deletion of Customer Data will be handled as described in your agreement and our Privacy Policy, subject to records that must be retained for legal or compliance reasons.
10. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware. Where a signed customer agreement specifies a different governing law, venue, or dispute-resolution mechanism — for example for EU or UAE engagements — that agreement controls for that Customer.
11. Changes to terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and provide notice where appropriate. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services.
